Welcome to Groto, by accessing or using our productized subscription service, you ("Client" or "you") agree to be bound by the following Terms of Use. Please read these terms carefully before purchasing a subscription package. If you do not agree to these terms, please refrain from using our service.

1. Description of Service

Groto offers a productized subscription service that provides flexible design support on a monthly, quarterly, or annual basis at a fixed rate. Clients may choose a plan—Starter, Part-Time, or Full-Time—based on their needs, and are assigned a dedicated designer trained in UX, UI, and brand workflows. All design requests are handled through Groto’s managed, async-first workflow.

2. Ownership and Intellectual Property

All design work and original source files created during an active subscription period ("Projects") are the intellectual property of the Client upon delivery and final payment. Groto assigns full rights and ownership of all created assets to the Client, with the exception of any materials (e.g., templates, frameworks) not originally created for the Client. Any assets provided by the Client are assumed to be their rightful property and free of third-party infringement.

3. User Representations

By using the our service, you represent and warrant that:

• You have the legal capacity and agree to comply with these Terms of Use.
• You are not a minor in your jurisdiction.
• You will not use our service for any illegal or unauthorized purpose.
• Your use of our service will not violate any applicable laws or regulations.

4. Prohibited Activities

You shall not use our service for any purpose other than that for which it is intended. You agree to refrain from the following:

• Making any unauthorized use of our service.

• Engaging in any activity that violates these Terms of Use or applicable laws.

• Interfering with or disrupting our service or Groto's networks or servers.

• Uploading or transmitting any harmful content, including viruses or malware.

5. Pause Policy

Clients may pause their subscription at any time with written notice, and resume later without losing their designer slot.

  • A pause can last up to 3 weeks per quarter.

  • During a pause, no work is conducted and billing is paused until the client resumes.

  • Any pause exceeding the 3-week quarterly limit may require reassignment to a new designer.

  • Groto cannot guarantee immediate availability upon return from extended pauses.

6. Cancellation and Billing Policy

All plans are billed in advance—monthly, quarterly, or annually depending on the selected plan.

  • Clients may cancel anytime, and their plan will remain active until the end of the current billing cycle.

  • No refunds are issued for early cancellations.

  • If canceled mid-cycle, any remaining design time will be credited and can be used within 90 days of cancellation.

  • Credits are non-transferable across teams but may be used for any future project under the same account.

7. Working Hours, Leave, and Availability

Groto’s design team operates from Monday to Friday, 10:30 AM to 6:30 PM IST, excluding Indian public holidays. Each assigned designer is entitled to up to 2 days of leave per month during an active subscription.

If a designer requires additional leave due to illness or emergencies:

  • Groto will first attempt to assign a replacement designer to avoid delays.

  • If the client chooses to wait for the same designer, any leave days beyond the monthly allowance will be prorated and credited based on the subscription fee, calculated over a standard 30-day month.

While our team works in IST, we will coordinate and schedule meetings outside working hours as needed to ensure smooth collaboration across time zones.

8. Scope of Engagement and Exclusions

Groto provides end-to-end design support across UX design, UI design, brand identity, marketing creatives, and product design. Clients can switch between these design functions based on their plan level.

However, the following services are considered out of scope unless explicitly agreed upon in writing:

  • Simultaneous allocation of multiple designers (e.g., UI and brand designers working in parallel)

  • Content creation, including marketing copy, UX writing, or translations

  • Photography, video production, travel, or on-site content shoots

  • Advanced animation, 3D modeling, motion graphics, or high-level illustration work

  • Adobe InDesign projects (e.g., magazines, long-form print formatting)

  • Hosting, development, or engineering services

Requests that fall outside this scope will be discussed and estimated separately, with work only proceeding after written approval and agreed costs from both parties.

7. Dispute Resolution

Any legal action or dispute arising from these Terms of Use shall be brought before the courts in India, and the parties consent to the jurisdiction of such courts.

8. Privacy Policy

By using our service, you agree to be bound by the Privacy Policy posted on the Website. Your use of the service and data transfer to Groto constitute express consent to the processing of data in India.

9. Modification of Terms

Groto reserves the right to update or modify these Terms of Use from time to time. Any changes will be effective immediately upon posting on the Website. Clients are advised to review the Terms of Use regularly to stay informed of updates.

10. Termination

You may terminate your subscription at any time by providing written notice to Groto. Cancellation will take effect at the end of your current billing cycle. No refunds will be issued for unused time. However, any unused design time may be converted into credit, valid for up to 90 days. Groto also reserves the right to suspend or terminate your subscription in the event of a breach of these Terms of Use.

11. Limitation of Liability

Groto shall not be liable for any direct, indirect, incidental, consequential, or special damages resulting from the use or inability to use the service, including loss of business, data, or profits, even if Groto has been advised of the possibility of such damages.

12. Indemnification

You agree to defend, indemnify, and hold harmless Groto, its affiliates, officers, employees, agents, and contractors from any claims, losses, damages, or liabilities arising out of your use of the service or any violation of these Terms of Use.
